1) Who We Are

SIPS Directory (the “Platform”) is operated by ROCKIN YOUR SOBER LIFE, with a V Cardinal Ave, West Sand Lake, NY 12196** (collectively, “SIPS,” “we,” “us,” or “our”). You can reach us at support@sipsdirectory.com.

These Terms & Conditions (the “Terms”) govern your access to and use of the Platform, including our website, listings, directories, content, forms, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, do not use the Services. You may use certain parts of the Services only if you accept additional terms (e.g., Brand Partner/Venue Listing terms, Affiliate Terms, or separate agreements). If any conflict exists, the more specific agreement controls for that subject matter.

2) Eligibility

You must be at least 13 years of age (or the age of digital consent in your jurisdiction) to use the Services. If you are under 18, you represent that you have the consent of a parent or legal guardian. If you use the Services on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.

3) Accounts & Security

3.1 Registration. Some features require an account. You agree to provide accurate information and keep it updated.
3.2 Credentials. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use.
3.3 Security. We may monitor, suspend, or terminate accounts to protect the Services or other users.

4) Nature of the Platform

SIPS is an informational directory and community platform that helps people discover venues and brands offering thoughtful non‑alcoholic options. We do not sell alcohol or any beverages and we do not guarantee availability, pricing, suitability, or safety of any venue, brand, product, or experience listed on the Platform.

The Platform may include: (a) free community tips (“SIP Tips”); (b) paid business listings (“Listings”); (c) badges/decals and verification indicators; and (d) affiliate content or sponsored placements. Information can change without notice. Always confirm details directly with a venue or brand before visiting or purchasing.

5) Listings, Business Accounts & Badges

5.1 Business Accounts. Venues and brands may purchase paid Listings or enroll in partner programs. Additional terms, including pricing and features by tier, may apply at checkout or in a separate agreement.
5.2 Eligibility for Listing. To maintain directory quality, we require that venues/brands offer thoughtful non‑alcoholic options that meet our baseline requirements as published on the Platform. We may decline, edit, suspend, or remove any Listing at our discretion.
5.3 Accuracy. Businesses are solely responsible for the accuracy of their Listings (menus, photos, hours, policies, locations, and other details). We may request evidence of claims (e.g., photos, menus, distributor confirmations) and may edit for clarity, format, or policy compliance.
5.4 Prohibited Content. Listings must comply with Section 10 (Acceptable Use). Without limitation, content must not be deceptive, infringing, hateful, harassing, pornographic, unsafe, or unlawful; must not encourage excessive or underage drinking; and must not depict binge consumption or illegal drug use.
5.5 Verification Indicators. Any verification indicator, such as “Sober‑Friendly Certified” or similar, reflects our independent assessment at a point in time based on criteria we may change. It is not a guarantee of quality, safety, or continued eligibility, and may be revised or withdrawn at any time.
5.6 Badges/Decals. Where available, we may grant a revocable, limited license to display a SIPS badge/decal onsite or online while the Listing remains in good standing. You must follow our brand guidelines, not alter the marks, and remove badges/decals upon request or when your Listing ends or is downgraded. Physical decals may be replaced at our discretion; shipping/handling may apply.
5.7 Upgrades & Changes. We may change or discontinue features, tiers, and benefits. We will endeavor to provide advance notice for material changes to paid services.

6) Community Contributions (SIP Tips) & User Content

6.1 User Content. Users may submit tips, comments, ratings, suggestions, photos, logos, or other content (collectively, “User Content”). You retain ownership of your User Content.
6.2 License to SIPS. By submitting User Content, you grant SIPS a worldwide, non‑exclusive, royalty‑free, sublicensable and transferable license to host, store, use, reproduce, adapt, publish, translate, create derivative works, publicly perform, and display such content in connection with the Services and SIPS’s marketing, including across social media and partner channels, in any media now known or later developed.
6.3 Representations. You represent and warrant you own or have all necessary rights to your User Content and that it complies with these Terms and applicable laws.
6.4 Moderation. We may, but have no obligation to, monitor, edit, or remove User Content at our discretion. We do not endorse any User Content.

7) Pricing, Payments, Renewals & Refunds

7.1 Plans & Pricing. Prices for Listings, partner plans, mocktail menu subscriptions, promotional placements, and other paid Services are as shown at checkout or in a separate order form. We may change prices prospectively at any time. Promotional or “founders” pricing may be limited‑time or subject to eligibility.
7.2 Billing & Taxes. You authorize us (and our payment processors, such as GetPaid/Stripe/PayPal) to charge your payment method for recurring and one‑time fees, applicable taxes, and any outstanding amounts. You agree to keep your billing information current.
7.3 Auto‑Renewal. Unless otherwise stated, paid plans auto‑renew for successive terms (e.g., monthly/quarterly/annual) at the then‑current price until canceled. You can cancel renewal at any time via your account settings or by contacting support; cancellation takes effect at the end of the current term.
7.4 Refunds. Except where required by law or expressly stated otherwise, all fees are non‑refundable and non‑transferable. If you terminate early, benefits continue through the paid term. We may issue goodwill credits at our discretion; credits have no cash value.
7.5 Non‑Payment. Failure to pay may result in suspension or removal of your Listing and loss of benefits, badges, or placements. Reinstatement may require payment of past due amounts or reactivation fees.
7.6 Third‑Party Fees. You are responsible for third‑party charges (e.g., carrier data charges, shipping fees for decals/merch).

8) Affiliate Links, Sponsored Content & Disclosures

8.1 Our Disclosures. We may include affiliate links and/or sponsored placements. We may earn commissions or fees when you click, sign up, or purchase. We strive to clearly label sponsored or affiliate content.
8.2 Partner Tracking. If you are a partner using tracking links, you agree not to engage in fraudulent or misleading activity, cookie stuffing, or other prohibited practices. Additional Affiliate Terms may apply.
8.3 No Endorsement. Appearance on the Platform does not constitute an endorsement by SIPS.

9) Intellectual Property; License to You

9.1 Our IP. The Services, including the SIPS name, logos, trademarks, look‑and‑feel, templates, software, and compilations, are owned by SIPS or our licensors and protected by IP laws.
9.2 Limited License. Subject to these Terms, we grant you a limited, revocable, non‑transferable license to access and use the Services for their intended purpose.
9.3 Restrictions. You may not copy, modify, reverse engineer, decompile, scrape, harvest, or create derivative works from the Services; or use any automated means (bots, crawlers) without our prior written consent.

10) Acceptable Use & Prohibited Conduct

You agree not to:

  • Violate any law or right of others; upload unlawful, harmful, defamatory, obscene, hateful, harassing, or infringing content.
  • Promote binge drinking, underage drinking, or unsafe behavior; depict illegal drug use.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Upload malware or attempt to gain unauthorized access to the Services.
  • Scrape, index, or harvest data (including Listings) without permission.
  • Interfere with the proper working of the Services or impose an unreasonable load.
  • Circumvent or disable security or usage restrictions.
  • Use the Services for competitive benchmarking or to build a competing product.

11) Third‑Party Services

The Services may incorporate or link to third‑party tools and content (e.g., maps, analytics, payment processors, scheduling, social platforms). Your use of third‑party services is subject to their terms and privacy policies. We are not responsible for third‑party content, availability, or practices.

12) Privacy

Your use of the Services is subject to our Privacy Policy and Cookie Policy, which explain how we collect, use, and share information. By using the Services, you consent to those practices.

13) Health & Safety Disclaimers

We aim to highlight non‑alcoholic options. However, we do not provide medical, mental‑health, or legal advice. Consult a qualified professional for guidance specific to your situation. Venues and products may change ingredients, preparation methods, or policies without notice. Always confirm dietary needs, allergens, and safety considerations directly with the venue or manufacturer.

14) Warranty Disclaimer

To the fullest extent permitted by law, the Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non‑infringement. We do not warrant that the Services will be uninterrupted, error‑free, secure, or accurate.

15) Limitation of Liability

To the fullest extent permitted by law, in no event shall SIPS or its affiliates, officers, employees, contractors, or partners be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Services, even if advised of the possibility of such damages.

Our total liability for any claim arising out of or relating to the Services shall not exceed the greater of: (a) the amount you paid to us for the Services giving rise to the claim during the twelve (12) months preceding the event; or (b) US $100. Some jurisdictions do not allow certain limitations; some limitations may not apply to you.

16) Indemnification

You agree to indemnify, defend, and hold harmless SIPS and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your interaction with venues, brands, or third parties.

17) Dispute Resolution & Governing Law

17.1 Informal Resolution First. Before filing a claim, you and SIPS agree to try to resolve the dispute informally by emailing a short description of the issue and your proposed resolution to support@sipsdirectory.com. If we can’t resolve it within 30 days, either party may proceed under the venue clause below.

17.2 Governing Law. These Terms are governed by the laws of the State of New York, without regard to its conflict‑of‑law rules.

17.3 Venue. You and SIPS consent to the exclusive jurisdiction and venue of the state and federal courts located in Rensselaer County, New York, and waive any objection to such courts (including objections based on forum non conveniens).

17.4 Small Claims Option; Injunctive Relief. Either party may bring an individual claim in a court of competent jurisdiction for matters within that court’s limits. Either party may seek temporary or injunctive relief in any court of competent jurisdiction to protect intellectual property or stop unauthorized access or misuse of the Services.

18) International Use

We control and operate the Services from the United States. We make no representation that the Services are appropriate or available in other locations. You are responsible for compliance with local laws, including import/export controls and sanctions.

19) Communications

By creating an account or providing contact information, you consent to receiving communications from us (e.g., transactional emails, service announcements, and—where permitted—marketing messages). You can opt out of marketing emails at any time via the provided link. Transactional messages may still be sent.

20) Changes to the Services or Terms

We may modify the Services and these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., by posting to the site, updating the “Last Updated” date, or emailing you). Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

21) Termination

We may suspend or terminate your account or access to the Services at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Services at any time. Sections that by their nature should survive termination will survive (including, without limitation, Sections 6–9, 11, 14–18, and 20–22).

22) Copyright & DMCA Policy

If you believe that content on the Services infringes your copyright, please send a notice to DMCA Agent, ROCKIN YOUR SOBER LIFE, 26 Cardinal Ave, West Sand Lake, NY 12196, support@sipsdirectory.com, with the following: (a) a description of the copyrighted work; (b) the URL/location of the infringing material; (c) your contact information; (d) a statement under penalty of perjury that you have a good‑faith belief that the use is not authorized; (e) a statement that the information is accurate and you are the copyright owner or authorized to act on their behalf; and (f) your physical or electronic signature. We may remove content and terminate repeat infringers.

23) Miscellaneous

23.1 Entire Agreement. These Terms constitute the entire agreement between you and SIPS regarding the Services and supersede prior or contemporaneous agreements on the same subject.
23.2 Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
23.3 Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
23.4 No Waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
23.5 Headings. Headings are for convenience only and have no legal effect.
23.6 Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, labor disputes, power outages, or internet failures.

Optional Addenda (Include if relevant)

A. Venue/Brand Partner Addendum

  • Menu & Product Claims: You warrant that any product claims are truthful and substantiated.
  • Photo/Media Rights: You grant SIPS rights per Section 6 to use images and logos in your Listing and promotional materials.
  • Distributor Coordination: Where applicable, you authorize SIPS to confirm product availability with distributors/wholesalers for the purpose of verifying Listing accuracy.
  • Coupons/Promotions: You agree to provide clear terms, honor valid coupons tracked via SIPS systems, and not engage in unfair or deceptive practices.
  • Mocktail Menu Subscription: If purchased, recipe PDFs are licensed for in‑venue use during your active subscription and may not be resold or redistributed online. Attribution requirements may apply.

B. Community Guidelines (SIP Tips)

  • Be respectful and constructive; no harassment or hate speech.
  • No alcohol‑centric glamorization or binge content.
  • Disclose any material connections (e.g., you work at the venue/brand).
  • Only share content (text or images) you have rights to share.

C. Brand Guidelines (Badges/Decals)

  • Do not alter SIPS logos or marks.
  • Place decals in a clean, visible area; remove if instructed by SIPS.
  • Digital badges must link to your active SIPS Listing page.
  • Badges/decals are promotional items only and not a certification by a government authority.
